Terms of Service

1. Agreement and operator
These Terms of Service (“Terms”) govern your access to and use of https://takehold.app and its related features (the “Service”). The Service is operated by Anthony Vecchione, an individual based in New Hampshire, United States. In these Terms, “takehold,” “we,” “us,” and “our” refer to Anthony Vecchione as the operator of the Service.
By creating an account, checking the required acceptance box, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 13 to use the Service. If you are below the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms and authorize your use of the Service.
By creating an account, you represent that you meet these requirements. takehold is currently offered as a free, publicly accessible beta. Initial outreach may be limited, but eligible users who reach the website may create an account normally. The beta is intended for users in the United States. You may not use the Service where doing so would violate applicable law.
3. Accounts and beta access
You must provide accurate and current account information and keep it updated. You are responsible for protecting your credentials and for activity under your account. Do not share your password or allow unauthorized use. Notify security@takehold.app promptly if you suspect unauthorized access.
Authentication is provided through Supabase. takehold does not store plaintext passwords.
Creating an account does not guarantee continued access. Public account creation does not make Take collaboration, Hold data, holdings, or Portfolio News cards publicly accessible. Take remains limited to current watchlist members, and Hold and Portfolio News remain owner-private. We may limit enrollment, change features, impose reasonable usage limits, suspend accounts, or end the beta.
4. What takehold is and is not
takehold is a private organizational and collaboration service for market ideas, notes, current holdings, portfolio context, public market data, and direct-source news discovery.
takehold is not:
- a broker-dealer, investment adviser, exchange, custodian, fiduciary, bank, tax adviser, or law firm;
- a trading, order-routing, execution, clearing, or settlement service;
- a substitute for a brokerage statement, professional adviser, or independent research; or
- a guarantee of performance, accuracy, availability, or investment outcome.
The Service does not execute transactions, hold customer funds or securities, or request brokerage passwords.
5. Financial and investment information
All market data, news links, Takes, Notes, portfolio calculations, risk information, charts, and other outputs are provided for informational and organizational purposes only. They are not investment, financial, tax, accounting, or legal advice and are not a recommendation, rating, solicitation, or offer to buy, sell, or hold any security or asset.
Portfolio outputs can depend on user-entered or imported information, third-party data, assumptions, incomplete coverage, and simplified calculations. The current-weight historical price-risk model is not actual account history or performance. It does not include all transactions, cash flows, dividends, distributions, fees, taxes, changing quantities, or trade timing.
You are solely responsible for your decisions. Verify information independently and consult appropriately qualified professionals. Investing involves risk, including possible loss of principal. Past performance and historical price behavior do not predict future results.
The separate Disclaimer is incorporated into these Terms by reference.
6. User content and portfolio data
“User Content” includes information you submit or create through the Service, such as watchlist content, Takes, Position updates, Group Notes, reasons, conditions, chart workspaces and annotations, and uploaded import instructions or files. Private Hold information includes normalized holdings and related portfolio information.
You retain your ownership rights in your User Content and portfolio information. You grant takehold a limited, nonexclusive, worldwide, royalty-free license to host, copy, format, process, transmit, and display that information only as reasonably necessary to:
- provide the Service to you;
- display collaborative content to the current authorized members of the intended watchlist;
- process owner-private Hold information for the owning user;
- secure, maintain, troubleshoot, and improve the Service; and
- comply with law and enforce these Terms.
This license does not authorize takehold to publicly display, advertise with, or sell your private User Content or portfolio information. The license ends when the information is deleted from active use, except to the extent information remains in authorized collaborative history, inactive or soft-deleted records, backups, security records, or records retained for legal reasons as described in the Privacy Policy.
You represent that you have the rights and permissions needed to submit User Content and that doing so does not violate law, privacy, confidentiality, contract, intellectual-property, publicity, or other rights.
7. Collaboration and privacy expectations
Take content is visible to current members of the relevant watchlist. If you enter shares in a Position update, those shares are visible to those members. Do not submit information you are not comfortable sharing with that group.
Historical live content may remain visible to current members after you leave or are removed. Leaving a watchlist does not necessarily remove your earlier Takes, Notes, or attribution. Other members may also independently retain information they were authorized to view.
Hold information is intended to be owner-private. You may upload only holdings information that belongs to you or that you are authorized to process. Do not upload brokerage credentials, account passwords, or unlawful data.
No security system is perfect. You must use reasonable care when sharing invitations, collaborative content, and financial information.
8. Acceptable use
You may not use the Service to:
- violate law or the rights of another person;
- impersonate another person or misrepresent your identity or authority;
- post unlawful, threatening, harassing, defamatory, discriminatory, obscene, fraudulent, or deliberately misleading content;
- infringe intellectual-property, privacy, confidentiality, publicity, or contractual rights;
- upload malware or interfere with, damage, overload, probe, or circumvent the Service or its security;
- gain or attempt to gain unauthorized access to accounts, watchlists, Hold data, systems, or credentials;
- scrape, harvest, or use automated means to access the Service except with our written permission;
- expose, redistribute, sell, or create a competing service from market data or third-party content obtained through takehold;
- use the Service to execute or coordinate unlawful market manipulation, fraud, or other prohibited financial activity; or
- use another person's account or share access credentials.
We may investigate suspected violations and remove content or restrict access where reasonably necessary.
9. Content moderation and copyright complaints
You are responsible for your User Content. takehold is not obligated to monitor every private collaboration, but we may review, restrict, or remove content if we reasonably believe it violates these Terms, law, safety, provider requirements, or the rights of others.
To report allegedly infringing content, email support@takehold.app with identification of the work, the specific content or location at issue, your contact information, a statement of your good-faith belief, a statement that the information is accurate and that you are authorized to act, and your physical or electronic signature.
support@takehold.app is takehold’s current contact for copyright complaints. We may request additional information reasonably necessary to evaluate a complaint.
10. Our intellectual property
Except for User Content and third-party material, the Service—including its software, interface, design, text, branding, logos, and original materials—is owned by Anthony Vecchione or the applicable licensors and is protected by intellectual-property laws.
Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to use the Service for its intended personal and collaborative purposes during the beta. No other rights are granted.
11. Third-party services, data, and links
The Service relies on or links to third parties, including Supabase, Vercel, OpenAI, Twelve Data, Google Workspace, the SEC, and public publishers. Third-party services and content are governed by their own terms and policies.
Market data and public-source metadata can be delayed, incomplete, unavailable, incorrectly matched, or inaccurate. A direct link does not mean takehold endorses or controls the source. We are not responsible for external websites, their content, availability, security, or privacy practices.
You may not use takehold as a substitute for official brokerage, issuer, regulator, exchange, or professional records.
12. Data preservation and backups
The Service is not an archival or backup service. We do not guarantee that User Content, portfolio information, charts, imports, or any other data will always be preserved, recoverable, or free from corruption. Keep independent copies of information you need.
Deleting content through an available control may hide or deactivate a record without immediately and permanently purging every underlying copy. Account and privacy deletion requests must be sent to privacy@takehold.app and are handled as described in the Privacy Policy.
13. Suspension and termination
We may suspend or terminate access, remove content, or limit features if you breach these Terms; create security, legal, provider, or operational risk; misuse the Service; or if the beta or Service is discontinued.
You may stop using the Service at any time. Stopping use does not by itself delete your account or information. To request account deletion, contact privacy@takehold.app.
Sections that by their nature should survive termination—including ownership, licenses for retained records, disclaimers, limitations of liability, dispute provisions, and enforcement rights—will survive.
14. Beta availability and changes
The Service is experimental and may contain errors. Features may change, fail, be removed, or become unavailable. We do not promise uninterrupted access, any particular feature, data source, provider, level of support, retention result, or release schedule.
We may modify, suspend, or discontinue all or part of the Service. Where required by law or appropriate for a material change, we will provide reasonable notice.
15. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. This includes implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, quiet enjoyment, and warranties arising from dealing or usage.
We do not warrant that the Service or any information will be accurate, complete, current, secure, uninterrupted, error-free, suitable for your needs, or free of harmful components, or that defects will be corrected.
Some jurisdictions do not allow certain exclusions, so some of these provisions may not apply to you.
16. Limitation of liability
To the maximum extent permitted by law, Anthony Vecchione, takehold, and their service providers and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, opportunities, data, goodwill, or business interruption; investment or trading losses; or damages arising from third-party data, external links, unauthorized access, service interruption, or your reliance on the Service.
To the maximum extent permitted by law, total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid directly to takehold for the Service during the twelve months before the event giving rise to the claim or US $100. The current beta is free.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not exclude liability that cannot lawfully be excluded or limited.
17. Governing law and disputes
These Terms are governed by the laws of the State of New Hampshire and applicable United States federal law, without regard to conflict-of-law rules. Mandatory consumer protections that legally apply to you are not waived.
Before filing a formal claim, you agree to contact support@takehold.app and make a good-faith effort to resolve the dispute informally. These Terms do not require arbitration.
18. United States legal compliance
You may not use the Service if you are prohibited from receiving United States services under applicable sanctions or export-control laws. You represent that you are not located in a comprehensively embargoed jurisdiction and are not on a United States restricted-party list that prohibits your use.
19. Changes to these Terms
We may update these Terms as the Service or legal requirements change. We will post the revised Terms and update the “Last updated” date. Where required by law or appropriate for a material change, we will provide additional notice and request renewed agreement where necessary.
Your continued use after revised Terms become effective constitutes acceptance to the extent permitted by law. If you do not agree, stop using the Service and contact privacy@takehold.app if you want to request account deletion.
20. General provisions
If any provision is unenforceable, it will be limited or modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a business transfer where permitted by law.
These Terms, the Privacy Policy, and the Disclaimer are the entire agreement between you and takehold concerning the Service unless a separate written agreement expressly applies.
